RELATIONSHIP BETWEEN CORPORATE GOVERNANCE AND OPERATIONS DURING PRE-EPIDEMIC PERIOD AND EPIDEMIC PERIOD OF COVID-19 OF THE COMPANIES STOCK EXCHANGE LISTED ON THE IN THAILAND CASE STUDY: TOURISM INDUSTRY GROUP ELECTRONICS INDUSTRY GROUP AND AUTOMOTIVE INDUSTRY GROUP
Abstract:
The research purpose was to study the relationship between corporate governance and operations during pre-epidemic period and epidemic period of Covid-19 of the companies listed on the stock exchange in Thailand; case study: tourism industry group, electronics industry group, and automotive industry group. The research data were the secondary data, collected for 4 years divided into pre-epidemic period 2018-2019 and epidemic period 2020-2021, totaling 156 samples; colledted the information from annual financial reports and annual information reports (Form 56-1) of the Stock Exchange of Thailand.
The research findings were: the pre-epidemic period of Covid-19 found the company's corporate governance factors in terms of the size of the Board of Directors, the proportion of nonexecutive directors had relationship to operations as measured by return on total assets; and the proportion of non-executive directors had relationship to the operations as measured by the return on equity ratio. For the epidemic period of Covid-19 found the company's corporate governance factors in terms of the size of the board, the results of the company's corporate governance assessment, the proportion of non-executive directors had relationship to the operations
whether the return on total assets and return on equity.
The research findings present the importance of the role of directors especially the number of directors and the management structure affected the operations of the company in the normal and abnormal situations which were the important part of corporate governance affected the operations of company; and beneficial to companies listed on the Stock Exchange of Thailand to apply these relationship and deal with situations considered abnormal situations in order to benefit in the future; these shown that corporate governance mechanisms had a significant impact on the operations of company
